Definitions

• “DMXReady” refers to DMXReady, its websites, Smart Apps, Studio tools, documentation, UI systems, recipes, and related services.
• “Client” refers to any individual or entity that purchases, downloads, subscribes to, redeems, installs, embeds, or uses DMXReady products or services.
• “Website Owner” refers to a Client using a Smart App on a website they own or operate (including a business site, brand site, or personal site).
• “Agency / Web Pro” refers to a Client (or Client team) providing website, marketing, or technical services to third parties, including building, managing, maintaining, or optimizing client websites.
• “Smart App” refers to a DMXReady software product delivered either as (a) a hosted embed service or (b) a downloadable WordPress plugin ZIP.
• “Hosted Embed” refers to a subscription-based service where the Smart App runs on DMXReady infrastructure and is embedded on a website via a snippet.
• “Hosted Term” refers to the paid subscription period during which a Hosted Embed is active.
• “Download ZIP” refers to a downloadable WordPress plugin build that can be installed on a WordPress site.
• “Developer License” refers to the Download ZIP license grant that permits installation and use on unlimited sites you own, operate, or manage (including client sites), subject to the restrictions in these Terms.
• “Studio” refers to DMXReady’s membership tooling that may include credits and export/redeem functionality.
• “Credits” refers to non-cash units that may be used to redeem Hosted time or Download ZIP exports within Studio (where offered), subject to the rules shown at time of purchase/redeem.
• “Preview ZIP / Demo” refers to any trial, preview installer, sandbox, or demo access provided for evaluation purposes.
• “AI Features” refers to optional features that may use third-party AI services (e.g., OpenAI or other providers), typically requiring configuration and/or an API key depending on the Smart App.

2. Ownership and Licensing (Hosted vs Download)

• Client Content Ownership: You retain ownership of your original content, brand assets, and data you provide or collect using DMXReady products (including form submissions and messages), subject to any applicable laws and your own privacy policy obligations.
• DMXReady Intellectual Property: DMXReady retains ownership of its software, frameworks, templates, UI systems, recipes, tooling, and any updates or improvements, except where a separate written agreement explicitly states otherwise.
• Hosted Embed License (Subscription): If you purchase or subscribe to a Hosted Embed, DMXReady grants you a non-exclusive, non-transferable license to use the Hosted Embed during the active Hosted Term for the applicable Smart App. Hosted Embeds may stop functioning after cancellation or expiration, and continued access requires an active Hosted Term (or an active Studio-hosted entitlement, where offered).
• Download ZIP License (Developer License — Perpetual Use): If you purchase a Download ZIP (one-time purchase) or redeem a Download ZIP via Studio credits (where offered), DMXReady grants you a non-exclusive, perpetual license to install and use that Smart App on an unlimited number of WordPress sites that you own, operate, or manage — including client sites — solely for the purpose of delivering websites and related services.
• Agency Use Clarification (Allowed): You may install and use the Download ZIP on client sites as part of a client deliverable (website build, maintenance, optimization, or services engagement). You may charge for your professional services, including setup, customization, integration, and ongoing site management.
• Restrictions (No Redistribution as a Product): You may not resell, sublicense, publish, share, or distribute the Smart App ZIP (or derivative copies) as a standalone product, marketplace item, “downloadable plugin” offering, or bundled software product. This includes uploading to public repositories, “plugin club” libraries, app marketplaces, or distributing the ZIP outside of a client services engagement.
• Client Access & Handoff (Recommended): For client projects, you are responsible for configuring appropriate admin access and training. DMXReady may provide an “Owner dashboard” or simplified controls within certain Smart Apps, but you remain responsible for the final client handoff experience unless you have a separate managed-services agreement with DMXReady.
• Modifications: You may modify the Download ZIP for your own use and client projects. You may not remove or obscure DMXReady copyright, attribution notices, licensing notices, or identifying marks embedded in the software, documentation, or admin UI.
• Security and Compliance: You are responsible for securing your WordPress environments and complying with applicable laws and policies (including privacy and anti-spam laws) when collecting, storing, processing, or contacting leads and customers.

3. Studio, Credits, AI Features, and Preview Access

• Studio Is Optional (Unless Required at Checkout): Studio provides tooling that may include personalization wizards, exports, and credit-based redeem flows. If Studio is offered for a Smart App, it is optional unless explicitly required for a specific redemption, export, or feature.
• Credits (If Offered): Credits may be used to redeem Hosted time or Download ZIP exports within Studio where offered. Credit rules (e.g., how many credits are required per redemption) are shown at time of purchase/redeem and may vary by product. Credits are non-cash units and are not a bank account, stored value, or legal tender.
• Hosted via Studio (If Offered): Where Studio grants Hosted entitlements, those Hosted Embeds run only while the applicable entitlement is active (for example, during an active membership or for the redeemed hosted period, as displayed at checkout/redeem).
• AI Features Are Optional: Many Smart Apps work in a deterministic (non-AI) mode. If AI Features are enabled, they may require configuration, usage limits, or a third-party API key depending on the Smart App and your plan.
• Third-Party AI Services: If you enable AI Features, you may be using third-party services. Your use is subject to the third-party provider’s terms and policies. DMXReady does not guarantee the accuracy, completeness, or suitability of AI-generated output, and you are responsible for reviewing and approving any AI-produced content before use.
• Preview ZIP / Demo Access (Evaluation Only): Any Preview ZIP or demo environment is provided for evaluation and testing. Preview builds may be limited, time-boxed, watermarked, feature-restricted, or changed without notice. Preview access does not grant production usage rights unless explicitly stated.

4. Billing, Cancellations, and Refunds

• Hosted Subscriptions: Hosted Embeds and memberships (including Studio, where applicable) are billed on a recurring basis as displayed at checkout. You can cancel at any time; service typically remains active until the end of the current paid period unless otherwise stated at checkout.
• One-time Purchases: Download ZIP purchases are one-time charges unless explicitly sold as a subscription or renewal-based offer. A perpetual license means you may continue using the version you received indefinitely, subject to these Terms.
• Updates and Support: Support, warranty coverage, and access to updates (including whether updates are “lifetime” or plan-dependent) are provided as described on the specific Smart App product page and/or at checkout. DMXReady may release updates, fixes, and improvements over time, but does not guarantee a specific update schedule.
• Refund Policy: Refund eligibility depends on the product type and the policy shown at checkout or on the relevant offer page. Where a “risk-free” guarantee is stated for a Smart App, it applies only as described in that specific offer. For digital goods (including Download ZIP access), refunds may be limited once access is delivered, except where required by law or explicitly promised in an offer.
